Gap Analysis


Gap analysis is a statistical technique with immense power under certain circumstances. Its maps of the market are used to determine how various products are perceived by how they are positioned on the market map. On any map the items plotted tend to cluster here and there, with open space between them. These open spaces are gaps, and a map that shows gaps is, not surprisingly, called a gap map.

Financing Alternatives


By the time your company reaches its first stage of development, it has probably consumed most, if not all, of its original seed capital. Although business may be looking up, sales are not generating enough free cash to buy the inventory needed for further growth. And, of course, the amount of cash you have taken out of the business for personal living expenses has probably been negligible.

Except in very rare circumstances, a new business needs about three years of steady growth before it generates free cash in sufficient amounts to survive. Working capital to keep the business growing must come from outside the company. Financing must be obtained from banks, other leading institutions, or investors, or the company will stagnate and quickly die.

Expert Power


There are several ways managers use expert power. They can promote an image of expertise by subtly making others aware of their education, experience, and accomplishments. To maintain credibility, a leader should not pretend to know things that he or she does not know. A leader whose pretentions are exposed will rapidly lose expert power. A confident and decisive leader demonstrates a firm grasp of situations and takes charge when circumstances dictate. To enhance their expert power, managers should also keep themselves informed about developments related to tasks, valuable to the organization, and relevant to their expertise.

A leader who recognizes employee concerns works to understand the underlying nature of these issues and takes appropriate steps to reassure subordinates. To avoid threatening subordinates’ self-esteem, a leader with expert power should be careful not to flaunt expertise or behave like a know-it-all.

Elaborative Creativity


Elaborative creativity is the innovative amplification of a core idea or principle. The difference is between say, staff empowerment as a core belief and its amplification into personnel policies, participative management structures, training programs, and so forth. Elaboration can become innovative when it is creatively contextualized, that is, creatively fitted to the organization’s situation rather than simply borrowed from elsewhere. It can become innovative when it is done participatively, involving various viewpoints and much brainstorming, and the ideas are creatively synthesized. It can become innovative when not just one but several powerful, possibly partially conflicting ideas are fused together to form its basis, such as the ideas of centralization and decentralization, control and authority, or internal entrepreneurship and efficiency. Elaboration can also become innovative when it is periodically reviewed and creatively modified to suit changing circumstances. And it can become innovative when it is benchmarked, not with practices of the leading competitor, but the world’s best practitioners. And not necessarily in the organization’s industry, but in any sector of activity, for then it may reveal gaps that can be bridged only innovatively. When elaboration is made innovative in these ways, it is difficult for others to copy it, and therefore such elaboration confers a competitive advantage on the organization.

Checklist for Evaluating a Franchise


The Franchise

  • Did your lawyer approve the franchise contract you are considering after he or she studied it paragraph by paragraph?
  • Does the franchise give you an exclusive territory for the length of the franchise?
  • Under what circumstances can you terminate the franchise contract and at what cost to you?
  • If you sell your franchise, will you be compensated for your goodwill (the value of your business’s reputation and other intangibles)?
  • If the franchisor sells the company, will your investment be protected?

The Franchisor

  • How many years has the firm offering you a franchise been in operation?
  • Has it a reputation for honesty and fair dealing among the local firms holding its franchise?
  • Has the franchisor shown you any certified figures indicating exact net profits of one or more going firms which you personally checked yourself with the franchisee? Ask for the company’s disclosure statement.
  • Will the firm assist you with:

A management training program?

An employee training program?

A public relations program?

Capital?

Credit?

Merchandising ideas?

Fundamental Change


There is an evident and strong desire for corporate transformation. With all the smoke there has to be some fire. Against the background of multiple and profound changes and challenges in the business environment, management accepts that incremental is no longer enough.

How fundamental the transformation should be will depend upon the situation and circumstances of the individual company. There are easier ways of getting directorial and managerial kicks.

Circumstances might allow a gradual transition and incremental adjustment. Managers need to understand the profound nature of the distinction between evolutionary and revolutionary change, and the requirements for beginning about a revolution in thought. They must learn from radicals rather than administrators.

Termination of Agency Agreement


  1. Termination by expiration of the specified period in which the agent has to act. The courts say that the agency was for a “reasonable” time if no specific duration was stated in the agency agreement. The meaning of “reasonable time” is construed by the courts on a case-by-case basis, depending on the nature of the agency, the difficulty of accomplishment, and other controlling factors.
  2. Termination by specific agreement to do so between the principal and the agent.
  3. Termination by death or legal incapacity (insanity and so on) of either the principal or the agent. Most courts also hold that bankruptcy of either the principal or the agent terminates the relationship. However, the agent may still dispose of the principal’s property that is being held at the time of the bankruptcy.
  4. Termination through revocation by the principal. The agency contract is one that the principal is allowed to end at any time without giving any reason.
  5. Termination by withdrawal of the agent. This may be done at any time in an agency at will. If the agent is operating under a contract for a specified time of service or until a certain event is accomplished, the agent will be liable of damages to a principal who was not at fault in bringing about the termination.
  6. Termination by loss or destruction of the subject matter or by change of circumstances. The agent’s authority is lost if the subject matter is seriously disabled, lost, or destroyed.
  7. Termination by rescission. The general rules of law concerning rescission apply to agency contract.

Negotiating for Change


Occasionally, in any change effort a manager may run into another kind of roadblock: he/she may require the cooperation and support of managers in other departments and divisions, but may have no formal authority over them. Attempts to influence or persuade them  to support change may fail because the change may involve a perceived loss for the other managers, this could be loss in status, power, authority, prestige or prerequisites. Under these circumstances, it is not in the self-interest of those managers to support the change. Situations like these make the management of change explicitly political because, in order to gain their support, the manager may have to do some bargaining. In other words, when influence and persuasion fail, a manager may need to mobilize support through negotiation. Many managers, particularly those with technical backgrounds, find this process distasteful because it seems irrational. However, there is little that is irrational in these situations and they arise out of calculated self-interest. Just as there are sound scientific principles to influence and persuade people, negotiation and bargaining can also be based on logic and science. While part of negotiation—like management—is art, most of it is amenable of scientific analysis.

Leadership Styles


An effective leader recognizes that there are variations in leadership styles. The three basic styles are autocratic, free rein, and democratic. Autocratic leaders make decisions on their own, without consulting others. Democratic leaders involve their subordinates in making decisions. Free-rein leaders believe in minimal supervision, leaving most decisions to their subordinates.

The best leadership style is one that varies with the circumstances, changing according to three elements: the leader, the followers, and the situation. Some leaders are simply unable to encourage or even allow subordinates to participate in decision making. And some followers do not have the ability or the desire to assume such responsibility. Furthermore, the particular situation helps determine which style will be most effective. Problem requiring immediate solutions may have to be handled without consulting subordinates. With less time pressure, participative decision making may be desirable.

A democratic leader may be forced by circumstance to be autocratic in making a particular decision. Managers are increasingly moving toward a more democratic style of leadership. They find that workers involved in decision making tend to be more interested in the overall organization and may be more motivated to contribute to organizational objectives that those not involved in decision making.

No single best style of leadership exists. The most effective leadership style depends on the power held by the leader, the difficulty of the tasks involved, and the characteristics of the workers. Extremely easy and extremely difficult situations are best handled by leaders who emphasize task accomplishment. Moderately different situations are handled by leaders who emphasize participation and good working relations with subordinates.

Thinking Before Signing a Franchise Agreement


A franchise agreement is a legally binding contract that defines the relationship between the franchise and the franchiser. Because the Agreement is drawn up by the franchiser, the terms and conditions generally favor the franchiser. You don’t necessarily have to agree to everything on the first go-round. Maybe you can negotiate a better deal. Before signing the franchise agreement, be sure consult an attorney. Here are some tips you must consider before signing the agreement:

  1. Are your legal responsibilities as a franchisee clear? Are your family members similarly obligated?
  2. Who is responsible for selecting the location of your business?
  3. Is the name or trademark of your franchise legally protected? Can the franchiser change or modify the trademark without consulting you?
  4. Has the franchiser made any oral promises that are not reflected in the written franchise agreement?
  5. What are your renewal rights? What conditions must you meet to renew your agreement?
  6. Do you have exclusive rights to a given territory or could the franchiser sell to additional franchisees who would become your competitors?
  7. Under what terms are you allowed or required to terminate the franchise agreement? What becomes of the lease and assets if the agreement is terminated? Are you barred from opening a similar business?
  8. Under what terms and conditions are you permitted or required to sell some or all of your interests in the franchise?
  9. Are you required to buy supplies from the franchiser or other specified suppliers? Under what circumstances can you choose your own suppliers?
  10. Has your attorney studied the written franchise agreement? Does it conform to the requirements of Government rules?
